Introduction to working with LSE listed companies
A comprehensive four session course covering all the requirements and obligations those working with LSE listed companies should know.

Regulatory updates
When a major change to the rules or obligations impacting LSE listed companies occurs, I offer training detailing the changes, discussing the impact and highlighting practical considerations. Such training sessions have included:

  • Changes to the Listing Rules
  • Changes to the UK Corporate Governance Code and ancillary guidance
  • Internal control and risk management framework considerations ahead of the requirement for directors to make a declaration of the effectiveness of the internal controls.

Bespoke training
I can design a training session on any topic a client requests. Previous topics requested have included:

Consultancy

I provide bespoke services to fit my clients needs. Previous engagements have included:

Company Secretarial Health Check

The requirements with which a listed company must comply are numerous and located across many different pieces of legislation, regulation and guidance.

I have developed a detailed health check comprising, for UK incorporated companies, over 600 tests across 23 areas, providing an in-depth analysis of a listed company’s compliance with its various administration obligations. The health check highlights any areas of non-compliance, alongside remediation options for consideration.

The health check can be used by boards:

  • To demonstration compliance with Listing Principle 1 (that it has adequate procedures, systems and controls to enable it to comply with its obligations).
  • As evidence of the effectiveness of certain material controls on which the director declaration can be based.
  • As evidence of monitoring key service providers.

The health check can be fully modified to a client’s needs, for example only focussing on one area, such as the Annual Report or only focusing on compliance with a certain set of requirements, such as the UK Listing Rules.
